The following is the terms of the agreement between uBloom L.L.C. ("Company") and the registered user or buyer ("Patron") of goods or services through the Company's Web site (the "Site"). These terms are a legally binding contract, so please review them carefully:

1. Introduction.

Patron agrees to the terms and conditions outlined herein with respect to the goods, services and information provided by or through the Site. These terms and conditions constitute the entire and only agreement between the Company and Patron, and supersedes any and all prior or contemporaneous agreements, representations, warranties, and understandings with respect to the goods, services and information provided by or through the Site, and the subject matter of this Contract. Patron agrees to review these terms and conditions prior to purchasing or accessing anything and/or purchasing or accessing any good or service shall be deemed acceptance of this Contract.

2. Setup and Payment for Goods.

Patron represents and warrants that (i) the credit card information supplied is true, correct and complete and (ii) charges incurred by the Patron will be honored by the Patron’s credit card company and (iii) Patron shall pay charges incurred by Patron at the amounts in effect at the time incurred, including all applicable taxes. Patron shall be responsible for all charges incurred through use of Patron’s credit card. Patron agrees to keep his or her password confidential and to notify the Company within 24 hours of unauthorized use of the password or other breach of the confidentiality of Patron’s password. Company does not protect Patron from unauthorized use or discovery of Patron’s password.

3. Copyright.

The Company reserves the right in its sole discretion to edit or delete any information or content appearing on the Site and to remove any goods and services for sale. Upon notice published over the Service, the Company may modify this Contract, or prices, and may discontinue or revise any or all aspects of the Site in its sole discretion and without prior notice. Modification of this Contract will be deemed effective upon publication on the Site. All modifications, once published, will govern transactions occurring after said publication.

5. Right to Refuse.

The Company reserves the right in its sole discretion to refuse service at any time. Sale of any goods or services is subject to availability.

6. Indemnification.

Patron agrees to indemnify, defend and hold the Company and its affiliates, licensors and suppliers harmless from any liability, loss, claim and expense, including reasonable attorney's fees, related to a Patron’s violation of these terms of service or use of the Site.


7. Non-Transferable.

Patron’s right to use the Service is not transferable and is subject to any limits established by Company.

8. Disclaimer.

THE SERVICE, CONTENT, GOODS AND SERVICES FROM OR THROUGH THE SERVICE ARE PROVIDED "AS-IS," "AS AVAILABLE," AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED (INCLUDING BUT NOT LIMITED TO THE DISCLAIMER OF ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE). THE SOLE AND ENTIRE MAXIMUM LIABILITY OF THE COMPANY, FOR ANY REASON, AND PATRON’S SOLE AND EXCLUSIVE REMEDY FOR ANY CAUSE WHATSOEVER, SHALL BE LIMITED TO THE AMOUNT PAID BY THE CUSTOMER FOR THE PARTICULAR ITEMS PURCHASED. THE COMPANY AND ANY OF ITS AFFILIATES, DEALERS OR SUPPLIERS ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, LITIGATION, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN THE COMPANY AND PATRON. THIS SITE AND GOODS AND SERVICES WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. SOME STATE STATUTES MAY APPLY REGARDING LIMITATION OF LIABILITY.

9. Refunds and Exchanges Policy.

Company will not refund, and does not warrant in any way, products not sold or shipped by Company. Refunds and returns for products sold and/or shipped by third parties through Site are governed by the terms and conditions of the selling party or parties.

JTV/uBloom Return Policy:

You may return new, unopened items sold and fulfilled by JTV and uBloom.com within 30 days of delivery for a full refund. Items should be returned in their original product packaging. We'll also pay the return shipping costs if the return is a result of our error. Items that have been opened and are defective will be replaced at no charge to the customer. Items that have been opened and are not defective are not applicable for refund.


JTV/uBloom Refund Policy:

You should expect to receive your refund within four weeks of giving your package to the return shipper, however, in many cases you will receive a refund more quickly. This time period includes the transit time for us to receive your return from the shipper (5 to 10 business days), the time it takes us to process your return once we receive it (3 to 5 business days), and the time it takes your bank to process our refund request (5 to 10 business days). We'll notify you via e-mail of your refund once we've received and processed the returned item.


JTV/uBloom Cancellation Policy:

We have a 24 hour order cancellation policy. Any Order Cancelled after 24 hours will be subject to a 10% cancellation fee that will be billed to the credit card on file.



JTV/uBloom Delivery and Shipping Policy:

When you place an order, we estimate shipping and delivery 2-4 weeks from the date your order is placed. The availability of your items may affect the shipping and delivery date. We will notify you of any backordered merchandise and give you an estimate for delivery of the backordered item.


10. Use of Information.
 
The Company reserves the right, and Patron authorizes Company, to use and assign any or all information regarding Patron’s use of the Site and all information provided by Patron, subject to applicable law.

11. Miscellaneous.

These terms of service shall be treated as though Patron’s agreement to these terms were executed and performed in Grand Rapids, Michigan, and shall be governed by and construed in accordance with the laws of the United States of America and of the State of Michigan (without regard to conflict of law principles). Any cause of action of Patron with respect to the Site must be instituted within one (1) month after any purchase or be forever waived and barred. All actions shall be subject to the limitations set forth in Section 8. The language in this Contract shall be interpreted as to its fair meaning and not strictly for or against any party. All legal proceedings arising out of or in connection with this Contract shall be brought solely in Grand Rapids, Michigan and Patron expressly submits to the jurisdiction of said courts and Patron consents to extra-territorial service of process. Should any part of this Contract be held invalid or unenforceable, that portion shall be construed consistent with applicable law as nearly as possible to reflect the original intentions of the parties and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Site or the Company is in conflict or inconsistent with this Contract, this Contract shall take precedence. Failure of the Company to enforce any provision of this Contract shall not be deemed a waiver of such provision nor of the right to enforce such provision.

12. Privacy Policy

uBloom.com is highly sensitive to the privacy interests of our customers and believe that the protection of those interests is one of its most significant responsibilities. In acknowledgment of its obligations, uBloom.com has adopted the following Privacy Policy applicable to information about consumers that it acquires in the course of its business:
1. Acquisition of Information. We attempt to acquire no more information about consumers than is required by law or is otherwise necessary to provide a high level of service efficiently and securely.
2. Our Employees and Privacy. We train all of our employees about the importance of privacy. We give access to information about consumers only to those employees who require it to perform their jobs.
3. Security Measures. We make access to privacy-sensitive information subject to rigorous procedural and technological controls, consistent with legal requirements and the demands of customer service, including SQL Certification hosting.
4. Disclosure to Third Parties. We will provide individually identifiable information about consumers to third parties only if we are compelled to do so by order of a duly-empowered governmental authority, we have the express permission of the consumer, or Company deems it necessary to process transactions or provide our services.
5. Privacy and Our Business Partners. When we make our technology or services available to business partners, we will not share with them any more consumer information than is necessary, and we will make reasonable effort to assure, by contract or otherwise, that they use our technology and services in a manner that is consistent with this Privacy Policy.
